GENERAL TERMS AND CONDITIONS OF SALE OF PRODUCTS AND SERVICES (“T&C”)

Introductory Information:

These T&C govern the sale of products, as further described below, carried out remotely through the website www.juteco.it, owned by:

(the “Seller”, the “Company” or “Jute&Co”)

Article 1 – Preamble and Terms of Use

Jute&Co is the owner of the website www.juteco.it

(the “Website”) and of the trademark “Jute&Co” (the “Trademark”).

Jute & Co is an Italian company operating in the production and distribution of eco-friendly products, including jute, juco and cotton bags, as well as rugs and doormats (“Products” or “Product”), and, upon request, provides bag customization services exclusively in the cases and under the conditions set forth below (the “Service”), through the Website.

Through the Website it is therefore possible to:

  • Purchase Products;
  • Purchase Products together with the Service.

The Products are described on the Website in compliance with applicable regulations and with the greatest possible accuracy. However, differences may occur between the Products delivered and those shown in photos and images on the Website, especially in the case of handcrafted production, which may involve natural variations in the Products. Such differences, provided they do not concern essential characteristics or the quality of the Products, shall not constitute grounds for order cancellation or refusal of delivery.

The visual representation of Products on the Website or in catalogs may also vary due to browser or monitor color settings. Jute & Co shall not be held liable for any visual discrepancies, as the representative images provided are for illustrative purposes only.

The Website, the platform, and all content created by/for Jute&Co may not be copied, imitated, reproduced, either wholly or partially (e.g. layout, content and images, graphics, scripts, etc.), transferred by electronic or conventional means, modified, decoded, linked or used for purposes other than those provided for in these T&C, without the prior written consent of the Company.

The use of third-party logos does not imply any approval or association of any kind with the respective intellectual and industrial property rights holders.

Article 2 – Subject of the Contract

Through the Website, Jute&Co carries out sales via electronic commerce exclusively relating to the Products described, in accordance with Legislative Decree No. 70 of 9 April 2003 on electronic commerce, Legislative Decree No. 206 of 6 September 2005, as amended (“Consumer Code”), with particular reference to Chapter I “Consumer Rights in Contracts”, Articles 45 et seq., and the Italian Civil Code where applicable.

The Seller declares that it holds and/or possesses all rights, licenses, authorizations and certifications required by law for placing the Products on the market.

Article 3 – Service Recipients

Jute&Co accepts purchases on the Website from customers qualifying as consumers (“Consumer(s)”) as well as from customers who do not qualify as such and act for purposes related to their business, commercial, professional or craft activity (“Professional(s)”).

Pursuant to Article 3, paragraph 1, letter a) of the Consumer Code, a Consumer is a natural person acting for purposes unrelated to any business, commercial, professional or craft activity. The entry of a VAT number during the purchase procedure shall be deemed evidence that the purchase is made for business or professional purposes. In such case, the Customer shall be considered a Professional.

Where one or more sales are made to a Professional, these general terms and conditions of sale and the Italian Civil Code shall apply, and the consumer protections provided under the Consumer Code shall not apply.

The term “Customer” shall generically refer to both Consumers and Professionals, with reference to provisions common to both categories.

Article 4 – Website Registration and Customer Obligations

Consumers may purchase Products and/or Products and Services exclusively as “guests”, without registering or creating an account on the Website.

Professionals may purchase Products and/or Products and Services only after registering on the Website and creating an account. Registration is free of charge and permitted exclusively to individuals (not bots) who are at least 18 years old, have full legal capacity, and possess a valid email address.

All purchase orders submitted by the Customer to Jute&Co must be completed in full and contain all information necessary for the correct identification of the Customer, the Products and Services ordered, and the delivery address.

The Customer bears full and exclusive responsibility for the accuracy, truthfulness and correctness of the personal data provided.

Article 5 – Acceptance of Terms and Conditions

The conditions applicable to the Seller–Customer relationship are those in force on the date the order is submitted. Submission of the order implies full knowledge and express acceptance of these T&C and of all information provided during the purchase procedure.

The Seller reserves the right to update and/or amend these T&C at its sole discretion at any time.

Article 6 – Communications

For any request or communication, the Customer may contact Jute&Co using the contact details indicated above. The Customer acknowledges, accepts and consents that all communications, notices, information and documentation related to Product purchases shall be sent to the email address provided at the time of order submission.

Article 7 – Conclusion of the Contract and Order Acceptance

The purchase contract shall be deemed concluded and binding upon both parties when the Customer receives confirmation of order acceptance at the email address provided after completing the order procedure on the Website.

Article 8 – Product Availability

All Product orders are subject to availability. The Website is constantly updated to ensure consistency between stock availability and what is displayed online.

Due to simultaneous access by multiple users, the Seller does not guarantee allocation of the ordered goods or completion of the contract.

For Products subject to promotional pricing, the Seller reserves the right to accept orders with reduced quantities, subject to Customer notification and acceptance.

In case of Product unavailability, the Seller may cancel the order and inform the Customer by email or telephone (followed by written confirmation). Any amount previously paid shall be refunded.

In all cases of order cancellation due to Product unavailability, the Seller shall not be liable for any damages arising therefrom.

Article 9 – Product Customization Service

Jute&Co offers Customers the possibility to customize bags available on the Website according to specific requests.

At its sole discretion, and where feasible, the Seller may also customize other Products upon explicit agreement with the Customer.

The customization procedure involves direct contact with the Seller and includes the following steps:

  1. The Customer selects the bag model and submits the logo, design or desired elements;
  2. Jute&Co prepares a graphic proposal and submits it for approval;
  3. Upon final approval and payment, the customized Product is sent to print.

The Customer is responsible for carefully reviewing the graphic proposal. Once approved, no changes or cancellations shall be accepted.

Customized Products, pursuant to Article 59(1)(c) of the Consumer Code, are non-returnable and non-refundable, except in cases of significant defects or non-conformity with the approved customization.

Customized Products are handcrafted and may show minor imperfections or variations, which are inherent to artisanal production and do not constitute manufacturing defects.

The Customer guarantees full rights to use all materials provided and indemnifies Jute&Co against any third-party claims.

Customization timelines will be communicated prior to order confirmation.

Article 10 – Minimum Purchase Quantities

Purchases are subject to the following minimum quantities:

  1. Non-customized Products (excluding rugs and doormats): minimum order of 50 units per Product;
  2. Customized Products (excluding rugs and doormats): minimum order of 100 units per customized Product.

Any exceptions may be granted solely at the Seller’s discretion and in writing.

Article 11 – Delivery Times and Methods

Deliveries are made via TNT Holdings B.V. within Italy and FEDEX EXPRESS ITALY S.R.L. abroad, or other contracted carriers. Deliveries are available in Italy, EU countries, the UK, and, where agreed, the USA and other non-EU countries.

Estimated delivery times:

  1. Italy: within 48–72 hours from shipment;
  2. EU countries and UK: within 7 days from shipment.

Delivery shall in any case occur within 30 days from contract conclusion, except in cases of force majeure.

Tracking details will be provided by email.

Article 12 – Shipping Errors and Transport Damage

In case of damaged or tampered packages, the Customer must report the issue to the courier and sign “ACCEPTED WITH RESERVATION”.

Issues must be reported to Jute&Co with photographic evidence. Replacement may be authorized at the Seller’s discretion.

Failure to comply with procedures and deadlines results in loss of replacement or refund rights.

Article 13 – Defects and Legal Warranty

🡪 For Consumer purchasers

Products are covered by a 2-year legal warranty for conformity defects pursuant to applicable law.

Defects must be reported via PEC or registered letter with supporting documentation.

Improper use or handling excludes warranty coverage.

🡪 For Professional purchasers

Warranty claims are governed by Article 1495 of the Italian Civil Code.

Article 14 – Right of Withdrawal (Consumers)

The right of withdrawal is excluded for customized Products.

For other Products, Consumers may withdraw within 14 days.

Return shipping costs are borne by the Consumer.

Article 15 – Sale Prices

All prices are expressed in Euros.

Article 16 – Outlet, Discounts, Promotions and Special Offers

Outlet Products are new items sold at reduced prices due to limited availability.

Offers are non-cumulative unless otherwise stated and valid while stocks last.

Article 17 – Payment Methods

Accepted payment methods include bank transfer, credit card and PayPal.

Secure SSL systems are used. Jute&Co does not access payment details.

Article 18 – Limitation of Liability

Jute&Co shall not be liable for delays or failures due to force majeure or events beyond its control.

Article 19 – Governing Law

This contract is governed by Italian law.

Article 20 – Alternative Dispute Resolution

EU Consumers may access the ODR platform at https://webgate.ec.europa.eu/odr/.

Article 21 – Jurisdiction

For EU Consumers: jurisdiction lies with the court of the Consumer’s residence.
For Professionals and non-EU Consumers: exclusive jurisdiction lies with the Court of Piacenza.
